1. Eligibility. The Blink Holiday Giveaway (“Giveaway”) is open to legal U.S. residents currently residing in one of 50 United States and the District of Columbia who are at least 18 years old or the age of majority in their state of residence (19+ AL/NE; 21+ MS) as of the date of entry. Employees, officers, and directors of Amazon.com Services LLC (“Sponsor”) or any of its parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies (collectively, the “Giveaway Entities”) and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household are not eligible to enter or win. Participation in the Giveaway constitutes entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Giveaway. Winning a prize is contingent upon fulfilling all requirements, as set forth herein. Sponsor reserves the right to verify the eligibility of winners.

2. Sponsor. Amazon.com Services LLC, 410 Terry Avenue, Seattle, WA 98109.

3. Giveaway Period. The Giveaway begins on or about December 10, 2024 when Sponsor publishes a post to the @Blink Instagram account promoting the Giveaway (“Giveaway Post”) and ends on or about 11:59pm Pacific Time on December 19, 2024 (“Giveaway Period”). Sponsor’s computer is the official time keeping device for the Giveaway.

4. How to Enter. Entry into the Giveaway requires an Instagram account set to public and access to the internet. It is free to sign up for Instagram, and internet access, phone, and usage charges imposed by your online or mobile service provider(s) may apply.

To enter, during the Giveaway Period you must (a) follow (if not already following) the @Blink account on Instagram; (b) like the Giveaway Post; and (c) in a comment on the Giveaway Post, tag the Instagram account of one (1) friend.

Upon completing the required steps, you will receive one (1) entry (“Entry”) into the Giveaway.

LIMIT ONE (1) ENTRY PER PERSON. Entries received in excess of this limit will be disqualified. Any attempt by an individual to submit more than the stated number of Entries may result in disqualification. All winners are subject to verification before any prize will be awarded.

By submitting an Entry, you (“Entrant”) agree that Sponsor or its designees may contact you via direct message on Instagram and/or name you on Sponsor’s social media pages. Sponsor and Sponsor’s agents, affiliates, subsidiaries, representatives, or service providers may use Entrants’ personal information submitted with Entry for purposes of prize fulfillment and/or for future marketing by Sponsor, such as to notify them of a product or promotion that Sponsor thinks may be of interest.

Automated or bulk Entries or Entries submitted by third parties will be disqualified, at Sponsor’s discretion. Multiple Entrants are not permitted to share the same Instagram account. In the event of a dispute as to the identity of any Entrant, the authorized account holder of the email address registered to the Instagram account used in connection with the Entry will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder to the Sponsors or forfeit the Prize. Entries specifying an invalid, non-working, or inactive email address or Instagram handle will be disqualified. All information or steps required by these Official Rules must be completed and provide to be eligible to enter. Incomplete, illegible, corrupted, or untimely Entries are void and will be disqualified.

Entries, comments and content submitted or uploaded to any social media sites or other public sites in connection with this Giveaway (collectively, “Content Submissions”) may not contain, depict or show any content that: (i) is sexually explicit or suggestive, offensive, lewd, profane, obscene; (ii) promotes any activities that may appear unsafe or dangerous, or any political agenda or message; (iii) defames, misrepresents or contains disparaging remarks about Sponsor or other companies; (iv) contains any personal identification, such as license plate numbers, last names (first names are permitted), e-mail addresses or street addresses for any person other than entrant, or otherwise infringes on the privacy of any person other than an entrant; (v) communicates messages or images inconsistent with the positive image and good will of Sponsor’s brand; and/or (vii) violates any law. Any Content Submissions that contain such content will be disqualified. Sponsor reserves the right in its sole and unfettered discretion to disqualify any Content Submission that it believes is inappropriate, that does not comply with these Official Rules, or that is not consistent with the spirit or theme of the Giveaway.

5. Winner Selection & Notification. On or about December 20, 2024, ten (10) potential winners (each, a “Potential Winner”) will be selected in a random drawing conducted by Sponsor or Sponsor’s designee from among all eligible Entries received during the Giveaway Period. The odds of winning a prize depend on the number of eligible Entries received.

Each Potential Winner will be contacted via Instagram direct message to the Instagram account used to enter the Giveaway (“Notification”). Except where legally prohibited, each Potential Winner may be required to complete a Declaration of Eligibility and a Liability and Publicity Release (“Declaration”) to claim his/her prize. Each Potential Winner will also be required to provide a valid U.S. postal address where the prize can be shipped.

In the event a Potential Winner chooses not to accept his/her prize, is not in compliance with these Official Rules, is unable to be notified, if any correspondence from Sponsor or a prize is returned as undeliverable, if a Potential Winner fails to sign and return the Declaration within the required time period (if applicable), or if a Potential Winner is disqualified for any reason, prize will be forfeited and an alternate winner will be selected from all of the remaining qualified Entries. Only three (3) alternate drawings will be held, after which any remaining prizes will remain un-rewarded.

ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR WHOSE DECISIONS IN ALL MATTERS RELATED TO THE GIVEAWAY ARE FINAL AND BINDING. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

Once a Potential Winner has complied with all of the conditions herein, and his/her eligibility has been verified, he/she will be declared an official “Winner” of the Giveaway.

6. Prizes. Ten (10) prizes (each, a “Prize”) are available to be awarded during the Giveaway. Each Prize will consist of a “Blink Whole Home Bundle” to include the following items:

- One (1) Blink Mini 2

- One (1) Blink Outdoor 4

Approximate retail value (“ARV”) of Prize is $199.97. Total ARV of all Prizes is $1,999.70.

LIMIT ONE PRIZE PER PERSON AND PER HOUSEHOLD. Prizes pictured in advertising, marketing or promotional materials are for illustrative purposes only. All applicable federal, state, and local tax liabilities, fees, and expenses related to acceptance and use of Prize not specifically stated herein, shall be the sole responsibility of Winner. Prizes cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsor reserves the right to make equivalent Prize substitutions, at its sole discretion.

Prizes will be delivered by U.S. Mail or other delivery service, at Sponsor’s or its designee’s sole discretion, to the mailing address provided to Sponsor by Entrant. If a Prize is returned as undeliverable or is unable to be awarded for any reason, the applicable Prize will be forfeited. Sponsor will not replace any lost or stolen Prizes or components thereof.

Awarding of a Prize is subject to the Winner’s acceptance of all requisite conditions within these Official Rules and Winner’s ability and agreement to grant the rights set forth in these Official Rules and execute the required documentation (if any is required). By accepting a Prize, the Winner acknowledges and affirms compliance with these Official Rules.

7. Publicity. Except where prohibited by law, participation in the Giveaway and acceptance of Prize constitutes Winner’s grant to Giveaway Entities (which grant will be confirmed in writing on request of Sponsor) and their designees the right and permission to use Winner’s name, likeness, biography, statements, voice, image and any other personal characteristics, in any and all media now or hereafter known, for any purpose, including without limitation, marketing, promotional, and publicity purposes without additional consideration, compensation, permission, or notification to such Winner, and such individual hereby releases the Giveaway Entities and their designees from any liability with respect to such use.

8. General Conditions. This Giveaway is governed by the laws of the United States. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS GIVEAWAY OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor reserves the right at its sole discretion to disqualify any individual they find to be attempting to tamper with or undermine the entry process and/or the legitimate operation of the Giveaway; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person.

If, for any reason, the Giveaway is not capable of running as planned or any causes beyond the control of the Sponsor corrupt or affect the administration, security, fairness, integrity or proper conduct of the Giveaway, Sponsor may, in its discretion, void any suspect Entries and (a) cancel or terminate the Giveaway (or any portion thereof); (b) modify the Giveaway in a manner that best conforms to the spirit of these Official Rules; and/or (c) award the Prize(s) at random from among the eligible, non-suspect Entries received up to the time of the impairment.

9. Governing Law; Dispute Resolution; Limitation of Liability; Releases. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Giveaway Entities in connection with the Giveaway shall be governed by, and construed in accordance with, the laws of the State of Washington, without giving effect to any choice of law or conflict of law rules (whether of the State of Washington or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Washington.

By entering the Giveaway, Entrants hereby submit to the jurisdiction and venue of the federal and state courts of King County, Washington, United States and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum.

BY ENTERING AND PARTICIPATING IN THE GIVEAWAY, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM, INDIRECT, PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

BY PARTICIPATING IN THE GIVEAWAY, EACH ENTRANT AGREES: (I) TO BE BOUND BY THESE OFFICIAL RULES AND ALL APPLICABLE LAWS; (II) TO WAIVE ANY RIGHTS TO CLAIM AMBIGUITY WITH RESPECT TO THESE OFFICIAL RULES AND ANY PROMOTIONAL MATERIALS RELATED TO THE GIVEAWAY; AND (III) TO RELEASE SPONSOR, THE GIVEAWAY ENTITIES, INSTAGRAM, AND EACH OF THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES OR OTHER AUTHORIZED DESIGNEES FROM ANY LIABILITY WHATSOEVER AND TO HOLD THE SAME HARMLESS AGAINST ANY LIABILITY (INCLUDING, BUT NOT LIMITED TO, LIABILITY FOR ANY PROPERTY LOSS, DAMAGE, PERSONAL INJURY, BODILY INJURY, DEATH, LOSS, EXPENSE, ACCIDENT, DELAY, INCONVENIENCE OR IRREGULARITY) OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY THAT MAY ARISE IN CONNECTION WITH, AS APPLICABLE,: (A) ENTRANT’S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE GIVEAWAY OR ANY PART THEREOF; (B) TYPOGRAPHICAL ERRORS IN THE OFFICIAL RULES OR ANY OFFLINE, ONLINE, OR WIRELESS GIVEAWAY-RELATED PROMOTIONAL MATERIAL; (C) ACCEPTANCE OR POSSESSION, DEFECTS IN, USE, MISUSE OR INABILITY TO USE ANY PRIZE (OR ANY COMPONENT THEREOF); (D) ANY CHANGE IN PRIZES AS PERMITTED HEREUNDER OR OTHERWISE DUE TO CANCELLATIONS, DELAYS, INTERRUPTIONS, ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, TERRORISM OR ANY REASONS BEYOND ANY OF THE GIVEAWAY ENTITIES’ CONTROL; (E) HUMAN ERROR; (F) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT, TRANSMISSION, CODING, TRANSCODING, OR COMPUTING OF ANY MATERIALS; (G) ANY TECHNICAL MALFUNCTIONS OR UNAVAILABILITY OF ANY WEB SITE, MOBILE APPLICATION OR NETWORK, TELEPHONE NETWORK, COMPUTER ONLINE SYSTEM, COMPUTER DATING MECHANISM, COMPUTER EQUIPMENT, SOFTWARE, INTERNET OR WIRELESS SERVICE PROVIDER, U.S. MAIL SERVICE, PRIVATE MAIL SERVICE OR COURIER UTILIZED BY SPONSOR OR ANY OF THE GIVEAWAY ENTITIES OR BY AN ENTRANT; (H) INTERRUPTION OR INABILITY TO ACCESS INSTAGRAM, TWITCH, OR ANY OTHER PARTICIPATING WEB SITE(S), ANY GIVEAWAY-RELATED WEB PAGES, OR ANY ONLINE SERVICE VIA THE INTERNET, OR WIRELESS SERVICE DUE TO HARDWARE OR SOFTWARE COMPATIBILITY OR OTHER PROBLEMS; (I) ANY LOST/DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, AND/OR ANY OTHER ERRORS OR MALFUNCTIONS; (J) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER ENTRANT OR INDIVIDUAL PURPORTING TO ACT ON BEHALF OF ANY SUCH ENTRANT, AND/OR ANY OF THE GIVEAWAY ENTITIES AND/OR ANY OF THEIR AGENTS, EMPLOYEES OR AUTHORIZED DESIGNEES; (K) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSION ON THE PART OF ANY OTHER PERSON OR ENTITY NOT AN EMPLOYEE OF ANY OF THE GIVEAWAY ENTITIES; OR (L) ANY OTHER CAUSE, CONDITION OR EVENT WHATSOEVER BEYOND THE CONTROL OF ANY ONE (1) OR MORE OF THE GIVEAWAY ENTITIES.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS GIVEAWAY, INCLUDING ALL PRIZES, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.
